Welcome to Nxt.Tools. By using the Nxt.Tools app, website, or services, you agree to be bound by the following terms and conditions. Please read them carefully.

1. Eligibility

By using Nxt.Tools, you confirm that you are at least 18 years old, or if under 18, you have obtained permission from a parent or legal guardian.

2. Account Registration

To access Nxt.Tools, users must create an account. You are responsible for maintaining the security of your account and for all activities under your account.

3. Service Types and Pricing

Nxt.Tools offers productivity tools for images, PDFs, documents, scanning, and more—powered by AI. We offer three types of services with different pricing models:

• Free Local Tools: Productivity tools (e.g. image, PDF, document, scanner) that run entirely on your device. These tools are free to use but may display small banner advertisements.
• Backend Services: Tools that require server processing (e.g. document conversion, cloud processing). These services are free but require viewing full-screen advertisements as a reward mechanism to access the service.
• AI Tools: Advanced tools powered by third-party AI services. These tools require either a subscription plan or pay-per-use (on-demand) pricing. Subscription plans provide access to a set number of AI tool uses per billing period, while on-demand pricing charges per use.

4. Advertising and Ad-Free Experience

Free local tools may display banner advertisements. Backend services require viewing full-screen advertisements to access the service. Any active subscription to Nxt.Tools will remove all advertisements from your experience, including banner ads and full-screen ad requirements.

5. Subscriptions

Subscription plans are available for AI tools and provide an ad-free experience across all services. Subscriptions are billed on a recurring basis (monthly or annually) and automatically renew unless cancelled. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.

• Subscription fees are charged according to the plan you select.
• All subscription fees are non-refundable unless otherwise stated in your specific subscription agreement or required by law.
• We reserve the right to change subscription pricing with 30 days' notice to existing subscribers.

6. On-Demand AI Tool Usage

AI tools may be available on a pay-per-use basis. Charges for on-demand usage are processed immediately upon use. You are responsible for monitoring your usage and associated costs. On-demand charges are non-refundable once the service has been provided.

7. Acceptable Use

You agree to use Nxt.Tools only for lawful purposes and in accordance with these Terms. You agree not to use the service:

• In any way that violates any applicable law or regulation
• To transmit any malicious code, viruses, or harmful content
• To interfere with or disrupt the service or servers connected to the service
• To attempt to gain unauthorized access to any portion of the service
• To circumvent or attempt to circumvent advertising requirements or payment mechanisms

8. Content Ownership & User Contributions

You retain ownership of any content you create or upload using Nxt.Tools. By using our services, you grant us a license to use, store, and process your content as necessary to provide the service. You are responsible for ensuring you have the right to use any content you submit.

9. Intellectual Property

All trademarks, service marks, logos, and other intellectual property displayed on Nxt.Tools are the property of Const Agility, LLC or their respective owners. You may not use these without our prior written permission.

10. Limitation of Liability

Nxt.Tools and Const Agility, LLC shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use of the app or services, including but not limited to service unavailability, data loss, or interruption of business. We do not guarantee the accuracy or reliability of AI-generated content from third-party services.

11. Privacy

Your use of Nxt.Tools is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

12. Changes to Terms

Nxt.Tools reserves the right to modify these Terms at any time. We will notify users of any material changes. Continued use of the service after such changes constitutes acceptance of the new terms.

13. Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the service in any way. You may also terminate your account at any time. Upon termination, you will lose access to all services and any unused subscription benefits.

14. Governing Law

These Terms and Conditions are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions.
